1. Agreement to Terms

These Terms of Service ("Agreement") constitute a legally binding contract between you (whether personally or on behalf of an entity) and Akasha Inc. ("Akasha", "we", "us", or "our"), concerning your access to and use of the Akasha enterprise applicant tracking and code evaluation platform (the "Service").

By accessing the Service, you agree that you have read, understood, and agree to be bound by all of these Terms. If you do not agree, you must immediately discontinue use of the Service.

2. Provision of Service

2.1 Workspace Administration

Users registering an organization act as "Workspace Owners". Owners are fully liable for all activity occurring under their Workspace, including the actions of invited "Admins" and "Members". You agree to enforce robust security practices (including protecting JWT sessions) and immediately notify Akasha of unauthorized access.

2.2 Service Availability

We endeavor to maintain 99.9% uptime for the Service. However, Akasha is not liable for temporary downtimes caused by maintenance, cloud provider outages, or third-party AI/GitHub API rate limit restrictions.

3. Acceptable Use and API Throttling

The Service utilizes extensive third-party APIs (such as GitHub raw content retrieval and LLM inference) to conduct code analysis.

• You agree not to bypass, manipulate, or maliciously flood our sequential batching architectures.
• You agree not to use the platform to evaluate malware, unauthorized repositories, or codebases you do not have the legal right to audit.
• Akasha reserves the right to dynamically throttle or suspend Workspaces that trigger persistent API abuse alerts.

4. Intellectual Property

Platform IP: All rights, title, and interest in and to the Service (excluding candidate data) are and will remain the exclusive property of Akasha Inc. The "Akasha" name, logos, and custom UI components are trademarks of Akasha.

Candidate IP: Code provided by candidates for evaluation remains the intellectual property of the respective candidate. Akasha does not claim ownership over any source code audited through the platform.

5. Disclaimer of Warranties & Limitation of Liability

THE SERVICE IS PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. AKASHA EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

Akasha does not guarantee that our AI code evaluations are completely free of false positives or subjective bias. Final hiring decisions rest entirely with the Workspace Owner. IN NO EVENT SHALL AKASHA BE LIABLE FOR ANY LOST PROFITS, DATA LOSS, OR ANY INDIRECT, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING OUT OF YOUR HIRING DECISIONS.

6. Governing Law & Severability

This Agreement shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. If any provision of this Agreement is found to be unenforceable, the remaining provisions will remain in full force and effect.
